Terms and Conditions for Active Contributors and Financial Contributors

Active Contributors

1. Active Contributors
“Active Contributors” consist of individuals, entities, and any other organizations that (i) endorse the missions and the objectives of incorporation of “Let’s Talk Foundation”, a Japanese general incorporated association (the “Association” or we), and (ii) support our activities operationally as volunteers, which activities are to advance our missions and objectives (“Activities”), with utmost respect for sincerity.

2. Application
Whenever we seek a volunteer or supporter for an Activity, you may apply to become an Active Contributor in writing as designated by us (including expression of intent through emails and our website (the “Website”)).  If we approve your application, we will contact you.

3. Approval
When your application is approved, the Representative Director will publicly announce that you have become an Active Contributor (the term “public announcement” as used in these Terms will include one on the Website).

4. Fees
There is no admission fee or contributorship fee applicable for an Active Contributor.

5. Our Requests and Instructions
An Active Contributor shall follow requests and instructions made by the Representative Director for each Activity in participating in our Activities (including requests and instructions through emails and the Website).

6. Benefits
We will publicly announce the name of each Active Contributor as a token of our appreciation (we will not do so if he or she does not wish for such announcement).  In addition, we will share with Active Contributors our information, such as reports on our programs, our financials, and matters under consideration.

7. Liabilities
An Active Contributor will participate in the Activities at his or her own responsibility and expense; provided, however, that we may bear some expenses pursuant to Section 8.  We will not be held liable for any costs, expenses, losses, or damages incurred by an Active Contributor arising out of or in connection with any Activities unless our willful misconduct or gross negligence causes such costs, expenses, losses, or damages.

8. Expenses
We will inform Active Contributors of any expenses relating to the Activities to be borne by us, if any, via emails, the Website, or any other type of communication as we deem appropriate.

9. Resignation and Termination
An Active Contributor may resign at his or her will.  We kindly ask an Active Contributor to provide us with resignation notice at least one month prior to his or her resignation.  We may ask an Active Contributor to voluntarily resign or may terminate his or her contributorship if we come to a conclusion that he or she violates any law, our Articles of Incorporation, or these terms, or is not appropriate as an Active Contributor.

10. Miscellaneous
These terms may be amended by resolution of the general assembly of the Association.  If there is any matter that these terms and the Articles of Incorporation do not address and we deem necessary or appropriate to do so, we will in good faith discuss such matter with related parties.

Financial Contributors

1. Financial Contributors
“Financial Contributors” consist of individuals, entities, and any other organizations that (i) endorse the missions and the objectives of incorporation of the Association and (ii) support our Activities financially (we accept only monetary donations unless otherwise notified by us).

2. Donations
The minimum donation is 3,000 Japanese yen, and you may choose any donation amount above the minimum in increments of 1,000 Japanese yen.  Donations are always welcome and appreciated.

3. Application
You may apply to become a Financial Contributor in writing as designated by us (including expression of intent through emails and the Website).  If we approve your application and receive your donation, we will accept you as a Financial Contributor, in which case we will contact you.

4. Approval
If we approve your application and receive your donation, the Representative Director will publicly announce that you have become a Financial Contributor.

5. Fees
A donation can be made by wire-transfer, credit card, or any other payment options as designated by us.  A donation will be accepted as the admission fee and contributorship fee of the donating Financial Contributor.  If we do not approve your application after our review as provided in Section 3, we will return to you the donation received by us.

6. Use of Donations
Donations will be used, at the discretion of the Representative Director, to serve the missions and the objectives of incorporation of the Association.  If you wish to set restrictions on use of your donation, please consult with the Representative Director at application.

7. Benefits
We will publicly announce the name of each Financial Contributor as a token of our appreciation (we will not do so if he or she does not wish for such announcement).  In addition, we will share with Financial Contributors our information, such as reports on our programs, our financials, and matters under consideration.

8. Special Contributors
We may award an honorary title and a certificate of appreciation to a Financial Contributor who makes an outstanding contribution to us.  Such awardee will be called a “Special Contributor”.

9. Resignation and Termination
A Financial Contributor may resign at his or her will.  We kindly ask a Financial Contributor to provide us with resignation notice at least one month prior to his or her resignation.  We may ask a Financial Contributor to voluntarily resign or may terminate his or her contributorship if we come to a conclusion that he or she violates any law, our Articles of Incorporation, or these terms, or is not appropriate as a Financial Contributor.

10. Miscellaneous
